1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and ETT Education & Technology Group, Inc. ("ETT," "we," "us," or "our") governing your access to and use of the ETT website located at ett-education.com (the "Website"), the ETT® web and mobile applications, and all related products, content, services, and features (collectively, the "Services").

By accessing or using the Services, you: (a) acknowledge that you have read and understand these Terms; (b) accept and agree to be bound by these Terms and our Privacy Notice; and (c) represent that you have the legal authority to enter into these Terms. If you do not agree to all of these Terms, do not access or use the Services.

2. Eligibility

You must be at least 13 years of age (or the minimum legal age in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet the foregoing eligibility requirement. Parents and legal guardians of minors remain fully responsible for the minor’s use of the Services.

3. Account Registration & Security

Certain portions of the Services require you to create an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain the security of your password and account credentials; (c) promptly update any information to keep it accurate and complete; and (d) accept full responsibility for all activities that occur under your account

4. Pricing, Plans, and Subscription Terms

4.1 Plan Descriptions

ETT® offers the following subscription-based plans (each a "Plan"):

• Free: Limited content, no cost, no expiration.
• Prep Rookie: Six-month, fee-based Plan.
• Score Soarer: Twelve-month, fee-based Plan.

Plan features and prices are as displayed at the time of purchase, including but not limited to the number of Digital SAT® practice tests, access to adaptive tests, video solutions, questionbank size, analytics features, and any promotional benefits.

4.2 Legacy Lifetime Access

Users who purchased paid tests, courses, or video lectures before May 22, 2025 retain lifetime access to the specific tests and video solutions already purchased ("Legacy Materials"). Legacy Materials do not include future releases, updates, or additional features unless expressly stated.

4.3 Plan Term & Expiration

Paid Plans grant access to covered features for the subscription term indicated at purchase (e.g., six or twelve months) beginning on the purchase date (the "Subscription Term"). Upon expiration, access to Planrestricted content—including tests not yet started, video solutions, and questionbank questions—will be suspended unless you renew or upgrade.

4.4 Automatic Renewal

Unless you disable autorenewal before the end of the current Subscription Term, your Plan will automatically renew for a successive term equal in length to the original term at the thencurrent price.

5. Payments & Refund Policy

5.1 Payment

All fees are payable in U.S. Dollars via the payment methods we designate. You authorize us (or our thirdparty payment processor) to charge your selected payment method for all amounts due.

5.2 Non-Refundable Purchases

Except where prohibited by applicable law, all Plan purchases are final and nonrefundable once access to the Plan has been provisioned. Subscription Plans provide immediate access to proprietary digital content, analytics, and question banks that cannot be returned.

Statutory Exception: Nothing in this section limits any mandatory statutory right to a refund (e.g., where digital content is defective or a coolingoff period is required by law). We will honor such rights where they apply.

5.3 Chargebacks & Fee Reversals

Initiating a chargeback or payment reversal without contacting us first constitutes a breach of these Terms and may result in immediate suspension of your account pending resolution.

6. License & Intellectual Property

Subject to your compliance with these Terms, we grant you a limited, nonexclusive, nontransferable, revocable license to access and use the Services for personal, noncommercial, educational purposes only. All content on the Services, including but not limited to text, graphics, software, videos, and question banks, is owned by or licensed to ETT Education & Technology Group and is protected by copyright, trademark, and other laws. You may not reproduce, distribute, publicly display, or create derivative works from any part of the Services without our prior written consent.

7. Acceptable Use

You agree that you will not:

1. Violate any applicable laws or regulations.
2. Transmit viruses, malware, or other harmful code.
3. Reverseengineer, decompile, scrape, or datamine the Services.
4. Share, transfer, sell, or otherwise misuse your access credentials.
5. Infringe or misappropriate any intellectualproperty or privacy rights.
6. Harass, threaten, or harm others.
7. Disable, overburden, or impair the functioning or security of the Services.

We reserve the right to investigate violations and take appropriate action, including removing content, suspending accounts, and reporting unlawful conduct to authorities.

8. User Content

You retain ownership of any content you submit to the Services ("User Content"), but you grant ETT a worldwide, perpetual, royaltyfree license to host, reproduce, modify, distribute, and display such User Content for the purpose of operating and improving the Services. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any laws or thirdparty rights.

9. Third-Party Services

The Services may integrate with or link to thirdparty services. We do not control and are not responsible for thirdparty content or practices. Your use of thirdparty services is at your own risk and subject to their terms.

10. Modifications to the Services

We may, at any time, modify, suspend, or discontinue all or part of the Services (including Legacy Materials) with or without notice. We will not be liable to you or any third party for any such modification or discontinuance. However, modifications will not remove previously granted offline access to Legacy Materials, if applicable.

11. Termination

We may suspend or terminate your account and/or access to the Services, with or without notice, for any breach of these Terms or if we discontinue the Services. Upon termination, all rights granted to you will immediately cease, and you must cease all use of the Services. Sections 6, 8, 11, 12, 13, and 15 will survive termination.

12. Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, noninfringement, or course of dealing. We do not guarantee that use of the Services will improve test scores or result in admission to any educational institution.

13. Limitation of Liability

To the fullest extent permitted by law, ETT Education & Technology Group shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or in connection with: (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party; or (c) unauthorized access, use, or alteration of your transmissions or content. Our total liability for any claim arising out of or relating to the Services shall not exceed the greater of (i) one hundred U.S. Dollars (US $100) or (ii) the amount you paid us in the twelve months preceding the event giving rise to the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless ETT Education & Technology Group and its directors, officers, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Services, your violation of these Terms, or your infringement of any thirdparty right.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, U.S.A., without regard to its conflictoflaw principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Bergen County, New Jersey, and you consent to the personal jurisdiction of such courts.

Arbitration Option: We may, at our sole discretion, require you to submit any dispute to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association. If we elect arbitration, you agree to arbitrate on an individual basis; class arbitrations and class actions are not permitted.

16. Changes to These Terms

We may revise these Terms at any time by posting the updated Terms on the Website and updating the "Last revised" date. Material changes will be highlighted for at least thirty (30) days. Your continued use of the Services after such posting constitutes your acceptance of the revised Terms.

17. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign them without restriction.

18. Contact
